Terms of Service

Terms of Service

Puri Terms of Service

Effective date: August 4, 2026

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN PROVISIONS THAT LIMIT OUR LIABILITY AND AFFECT YOUR LEGAL RIGHTS.

ENTERTAINMENT USE ONLY. The Service provides fortune-telling, astrology and similar content generated with artificial intelligence. It is offered for entertainment and personal reflection only. It is not scientific, and it is not medical, psychological, legal, financial, employment or other professional advice. See Section 14.

BINDING ARBITRATION AND CLASS ACTION WAIVER. Section 22 requires most disputes to be resolved by individual binding arbitration and waives your right to participate in a class action or a jury trial. You may opt out of arbitration within 30 days as described in Section 22.6.

NOT OFFERED IN THE EEA, THE UNITED KINGDOM OR SWITZERLAND. See Section 3.4.

Article 1 (Purpose and Acceptance)

  1. These Terms of Service (the "Terms") govern your access to and use of the "Puri" mobile application and related websites (collectively, the "Service") operated by MinimalOps Co., Ltd. (주식회사 미니멀옵스), a corporation organized under the laws of the Republic of Korea (the "Company", "we", "us"). The Service is known in Korean as "새벽별 푸리".
  2. By creating an account, or by otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
  3. These Terms form a binding agreement between you and the Company. Additional rules, guidelines or product-specific terms that we publish within the Service form part of these Terms.
  4. These Terms are the English-language version of the Company's Korean-language terms of service. In the event of any conflict or inconsistency between this English version and the Korean version, the Korean version prevails to the extent permitted by applicable law, except where a mandatory provision of your local consumer law provides otherwise. A provision that appears only in this English version is additional to, and not in conflict with, the Korean version, and applies in full according to its terms. This includes, without limitation, Article 18 (Disclaimer of Warranties), Article 19 (Limitation of Liability), Article 20 (Indemnification) and Article 22 (Dispute Resolution; Arbitration; Class Action Waiver).

Article 2 (Definitions)

  1. "Service" means the AI-based fortune, astrology, chat and related content services that the Company provides through the Puri application and its websites.
  2. "User" means any person who accesses or uses the Service, whether or not registered.
  3. "Member" means a User who has completed registration and holds an account.
  4. "PuriChat" means the conversational fortune-telling feature of the Service, in which an AI assistant answers your questions.
  5. "Today's Fortune" means the daily fortune content provided through the Service.
  6. "Turn" means one exchange consisting of a message you send in PuriChat and the response generated for it.
  7. "PuriChat pass" means a virtual item purchased within the Service that may be consumed to use Turns and other paid features.
  8. "free star" means a Turn allowance granted by the Company free of charge as a promotional benefit.
  9. "Virtual Item" means PuriChat passes, free stars and any other in-Service credit, currency or entitlement, whether purchased or granted.

Article 3 (Eligibility)

  1. You may use the Service only if you are at least 14 years old, or such higher minimum age as the law of your country of residence requires for you to consent to the processing of your personal data or to enter into a binding contract. If you are under the age of majority in your jurisdiction, you may use the Service only with the consent and under the supervision of a parent or legal guardian, who accepts these Terms on your behalf.
  2. The Service is not directed to children. We do not knowingly permit registration by anyone below the applicable minimum age, and we may refuse registration or terminate any account that we determine belongs to such a person.
  3. You represent that you are not barred from using the Service under the laws of the Republic of Korea, of your country of residence, or of any other applicable jurisdiction, and that you are not subject to applicable economic sanctions or export restrictions.
  4. The Service is not intended for, offered to, or marketed to residents of the European Economic Area, the United Kingdom or Switzerland, and we do not monitor the behaviour of individuals in those territories. If you access the Service from those territories, you do so on your own initiative and at your own risk, and you are responsible for compliance with local law.
  5. Minors. Where you are a minor or otherwise lack full contractual capacity under applicable law, a paid transaction must be entered into with the consent of your parent or legal guardian, and that person may cancel a transaction made without their consent. To the maximum extent permitted by applicable law, cancellation is not available where: (a) you entered a false date of birth or otherwise used deception to cause us to believe you had full capacity; (b) the payment was made within the scope of funds your parent or legal guardian permitted you to dispose of; or (c) you have already consumed the purchased Virtual Item or the content obtained with it.

Article 4 (Accounts and Sign-in)

  1. Registration is completed through a third-party sign-in provider (Google, Apple, Kakao or LINE). Availability of each provider may differ by region, platform and app version. We do not collect or store your sign-in password.
  2. To provide fortune content, you must enter certain information, including your name or nickname, gender, date of birth, time of birth (or an indication that it is unknown) and place of birth. You are responsible for the accuracy of this information. Content generated from inaccurate information may be inaccurate, and we bear no responsibility for it.
  3. You are responsible for all activity that occurs under your account and for maintaining the security of the device and third-party accounts used to access it. Notify us promptly at the contact address in Article 26 if you believe your account has been used without authorization.
  4. We may refuse registration, or suspend or delete an account, if the applicant has previously lost Member status under these Terms, if the registration information is false, incomplete or inaccurate, or if registration would materially interfere with our operation of the Service.
  5. Accounts are personal to you. You may not sell, transfer, share or license your account to any other person.

Article 5 (Information About Other People)

  1. Certain features let you enter information about other people, including their name or nickname, relationship to you, gender and birth details, so that the Service can generate compatibility or relationship content.
  2. You represent and warrant that you have the lawful authority and, where required by applicable law, the consent of that person (or their parent or legal guardian) to provide their information to us and to have it processed for that purpose.
  3. You are solely responsible for information you enter about other people. You agree to indemnify us in accordance with Article 20 for any claim arising from your entry of another person's information.
  4. You may delete information about other people at any time through the Service, and it is deleted when your account is deleted.

Article 6 (The Service and Its Availability)

  1. The features available to you, and the products offered in the in-app store, depend on the language you have set in the app, as well as on your platform and region. Where you use the Service in a language other than Korean, the features generally available are PuriChat and Today's Fortune, and the store offers PuriChat passes. Other features of the Korean-language service — including its paid reading products, Q&A, emotion diary and letter features — are not offered, and neither carrots nor fortune passes are sold. The scope offered in each language may be adjusted as translation and localization progress.
  2. If you switch the app to Korean, the Korean-language service applies to you, including its features, its store and its Korean-language terms of service. Switching language does not forfeit any Virtual Item you already hold; you may continue to use it within the range of features available in the language you have selected, but it cannot be used for features that are not offered in that language.
  3. We aim to provide the Service 24 hours a day, every day, but we do not guarantee uninterrupted availability. We may suspend the Service in whole or in part for scheduled maintenance, system expansion or replacement, network instability, security incidents, or events beyond our reasonable control.
  4. We may add, change, restrict, suspend or discontinue any feature, content, character, model or product of the Service at any time, in our sole discretion. Where a change materially disadvantages Users, we will give notice in accordance with Article 24.
  5. The Service depends on third-party platforms and providers (including application stores, sign-in providers and AI providers). Changes made by those providers may affect the Service, and we are not responsible for their acts or omissions.
  6. If we discontinue the Service entirely, we will give at least 30 days' prior notice within the Service or by other reasonable means. You may consume your remaining Virtual Items until the discontinuation date. Unused Virtual Items lapse on that date, and any refund will be handled in accordance with applicable law and Article 11.

Article 7 (PuriChat Passes and Other Virtual Items)

  1. PuriChat passes may be purchased through the payment methods we make available. Outside the Republic of Korea, PuriChat passes are sold exclusively as in-app purchases through the Apple App Store or Google Play.
  2. PuriChat passes are consumed to use paid features, principally Turns in PuriChat. The number of PuriChat passes consumed per Turn or per item is displayed within the Service and may be changed prospectively under paragraph 10.
  3. Free stars are a promotional benefit, not property. They are granted, replenished up to a maximum, reduced or discontinued at our discretion, they have no monetary value, and they are never refundable. We may withhold free stars from accounts that delete and re-create accounts, or create multiple accounts, in order to obtain them repeatedly.
  4. Where you hold more than one form of allowance, allowances are consumed in the order we display within the Service.
  5. Virtual Items are a limited, personal, non-transferable, non-sublicensable, revocable licence to use a feature of the Service. They are not your property, not a deposit, not a payment instrument, not electronic money, and not a stored-value or prepaid instrument. They confer no ownership interest, no balance owed to you, and no right against the Company other than as expressly stated in these Terms.
  6. Virtual Items may not be sold, transferred, gifted, exchanged, traded or made available to any other person, whether inside or outside the Service, and they may not be converted, redeemed or cashed out into money or anything of monetary value. Any attempted transfer is void, and we may cancel Virtual Items that have been transferred or acquired in violation of these Terms.
  7. The validity period of a PuriChat pass depends on how it was obtained.
    • Purchased PuriChat passes: lapse five (5) years from the date of purchase, to the extent permitted by applicable law.
    • PuriChat passes granted as a reward (for example, for inviting a friend): lapse at the end of the validity period stated when the reward is granted (30 days by default). Lapsed passes are not restored and are not refundable. The validity period is shown on the screen for each reward.
  8. Where you hold PuriChat passes with different validity periods, those expiring soonest are consumed first.
  9. Where the law applicable to you prohibits or limits a lapse under this Article, that part applies only to the extent permitted, and the remainder of these Terms is unaffected.
  10. We may change the price of PuriChat passes, the number of PuriChat passes consumed per feature, and the composition of pass packages at any time. Changes take effect prospectively and do not affect PuriChat passes you have already purchased. Where a change materially disadvantages Users, we will give notice in accordance with Article 24.
  11. If your account is terminated or suspended because you breached these Terms, or if you delete your account, all Virtual Items associated with the account are forfeited without refund and cannot be restored, to the maximum extent permitted by applicable law.

Article 8 (Purchases and Billing)

  1. All purchases outside the Republic of Korea are processed by Apple Inc. or Google LLC through their respective application stores, and are additionally subject to the terms and policies of that store. We do not receive or store your card number or other payment credentials.
  2. Prices are displayed in the store before you confirm a purchase, and are set by us in the currency of your store account. Prices may include or exclude taxes depending on your country; the store determines the amount actually charged. Currency conversion, foreign transaction fees and taxes charged by your payment provider are your responsibility.
  3. A purchase is complete, and the corresponding Virtual Item is delivered, when the store confirms the transaction to us. Delivery is immediate and automatic.
  4. By purchasing, you request immediate performance and acknowledge that the digital content is supplied immediately. To the maximum extent permitted by applicable law, you thereby lose or waive any statutory right of withdrawal, cooling-off or cancellation that would otherwise apply to distance or online sales of digital content.
  5. If a purchase is not credited to your account, contact us at the address in Article 26 with the store receipt or order identifier. We will investigate and, where we confirm that a paid purchase was not delivered, credit the corresponding Virtual Item.
  6. We may cancel a purchase, reverse a credit, or suspend the account if a transaction is charged back, reversed or refunded by the store after the Virtual Item has been delivered, or if we reasonably determine that a transaction is fraudulent or was obtained by exploiting an error or defect.
  7. We may refuse, cancel or reverse a purchase where: bulk transactions from the same IP address or payment instrument indicate misappropriation; false or incomplete information was provided at purchase; a minor applied without the consent required under Article 3.5; payment has not actually been made or is unlikely to be made; or you have previously breached these Terms. We may also withhold approval of purchases for as long as a service failure or other condition prevents normal operation of the Service.

Article 9 (Refunds)

  1. All purchases are final and non-refundable, except as required by applicable law, as expressly stated in these Terms, or as granted by the applicable store under its own refund policy.
  2. Because purchases are processed by the application stores, refund requests must be submitted to Apple or Google in accordance with their refund policies. We do not control, and cannot guarantee, the outcome of a request made to a store.
  3. Where we do handle a refund directly at our discretion, we will refund only purchases for which the entire purchased quantity remains unused, and only where the request is made within seven (7) days of the purchase date. Partial refunds are not available.
  4. The following are not refundable in any case, to the maximum extent permitted by applicable law:
    • Virtual Items that have been used, in whole or in part
    • Free stars and any Virtual Item granted free of charge, as a bonus, or through an event or promotion
    • Virtual Items that have lapsed under Article 7.7 or been forfeited under Article 7.11
    • Requests made more than seven (7) days after the purchase date
  5. Refunds are made only through the payment method originally used, and are subject to the procedures of that payment method.
  6. Where we handle a refund directly, we will refund through the original payment method within the period required by applicable law, and will notify you in advance if refund by that method is not possible.
  7. Refund abuse. If we determine that you have acted fraudulently or in bad faith in connection with a refund or cancellation request, we may revoke Virtual Items granted free of charge, restrict or suspend your account, reset your account, and refer the matter to the competent authorities.
  8. Overpayments. We refund overpayments. However, where an overpayment arose from your fault and without our intent or negligence, you bear the actual costs of the refund within a reasonable scope. Overpayments arising in the application stores must be claimed from us or from the store, and are processed under that store's refund policy. Communication charges incurred in downloading or using the Service are not refundable.
  9. Nothing in this Article limits any non-waivable statutory right you may have under the consumer law of your country of residence.

Article 10 (Acceptable Use)

You agree not to, and not to permit or assist any other person to:

  1. Provide false, misleading or misappropriated information when registering or using the Service, or impersonate any person;
  2. Use, access or attempt to access the Service through any automated means (including bots, scrapers, crawlers or scripted clients), or through any interface other than the interfaces we provide;
  3. Copy, reproduce, distribute, publicly transmit, publish, broadcast, resell, sublicense or otherwise commercially exploit any part of the Service or any content obtained from it without our prior written consent;
  4. Use the Service or any content obtained from it to develop, train, fine-tune, evaluate or improve any machine-learning model, artificial intelligence system, dataset or competing service;
  5. Reverse engineer, decompile, disassemble, or attempt to derive the source code, prompts, models or underlying structure of the Service, except to the extent that this restriction is prohibited by applicable law;
  6. Interfere with, disrupt, overload or circumvent the Service, its security features, its rate limits, its payment or entitlement mechanisms, or any measure that restricts access to it;
  7. Create multiple accounts, or delete and re-create accounts, in order to obtain free stars, promotional benefits or trial access repeatedly;
  8. Purchase, sell, transfer or advertise accounts or Virtual Items, or use the Service in connection with any real-money trading;
  9. Submit content that is unlawful, infringing, defamatory, harassing, hateful, obscene, sexually explicit involving minors, threatening, or that violates the privacy or personal data rights of another person;
  10. Use the Service to make or support decisions in any context in which it is prohibited or unsafe to do so, including as described in Article 14.2;
  11. Represent that content generated by the Service is professional advice, or resell or publish it in a manner that suggests it is;
  12. Use the Service in violation of any applicable law, regulation or the terms of any third-party platform through which you access it.

Article 11 (Suspension and Termination)

  1. You may stop using the Service at any time and may delete your account through the Service. Deletion is processed without delay.
  2. When your account is deleted, your account data, chat history, saved profiles and Virtual Items are deleted or anonymized and cannot be restored, subject to the retention periods described in our Privacy Policy.
  3. We may restrict, suspend or terminate your access to the Service, in whole or in part, with or without notice, if you breach these Terms, if we reasonably suspect fraud, abuse or unlawful activity, if required by law or by a third-party platform, or if continuing to provide the Service to you would create legal or security risk for us or for other Users.
  4. Termination does not entitle you to any refund, except where a refund is required by applicable law.
  5. Articles 5.3, 7.5 to 7.7, 9, 12, 13, 14, 18, 19, 20, 22, 23 and 25 survive termination.

Article 12 (Intellectual Property)

  1. The Service, and all software, text, images, characters, designs, prompts, trade marks, logos and other materials that we make available through it, are owned by the Company or its licensors and are protected by intellectual property laws. No rights are granted to you except as expressly set out in these Terms.
  2. Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to use the Service and to view and personally use the content it generates for you, for your own non-commercial purposes.
  3. You may share individual pieces of generated content in personal, non-commercial contexts (for example, with friends or on personal social media), provided that you do not remove any attribution, do not alter the content in a way that is misleading, and do not present it as professional advice or as the output of any other service.
  4. You may not use our name, brand, logo, characters or trade dress without our prior written consent.

Article 13 (Your Content and Our Licence)

  1. You retain any rights you hold in the messages, diary entries, letters, profile information and other material you submit to the Service ("User Content").
  2. You grant the Company a worldwide, non-exclusive, royalty-free, fully paid, sublicensable and transferable licence to host, store, reproduce, process, transmit, modify, edit, adapt, create derivative works from and display User Content, and content generated in response to it, for the purposes of operating, securing, supporting, evaluating and improving the Service and developing new services. This licence ends when the User Content is deleted, except for copies retained in backups, in records we are required by law to keep, and in anonymized, pseudonymized or aggregated form, as to which the licence is perpetual and irrevocable and survives deletion of the User Content and termination of your account.
  3. We may use anonymized or aggregated information derived from use of the Service, including for quality measurement, safety review, statistical analysis and product development. Anonymized or aggregated information does not identify you and is not subject to the deletion right in paragraph 2.
  4. You represent and warrant that you hold all rights necessary to grant the licence in paragraph 2, and that your User Content does not infringe the rights of any third party.
  5. We are not obliged to monitor User Content, but we may review, screen, restrict or remove User Content that we reasonably believe breaches these Terms or applicable law.

Article 14 (Nature of the Content; No Professional Advice)

  1. All fortune, astrology, compatibility, dream-interpretation, emotional and similar content provided through the Service is generated for entertainment and personal reflection only. It is not scientific, and it has no predictive or diagnostic validity.
  2. The content is not, and must not be relied upon as, medical, psychological, psychiatric, legal, financial, investment, tax, insurance, employment, immigration, relationship, parenting or any other professional advice. Do not use the Service to make or support decisions about your health, safety, finances, legal position, employment, or the welfare of any other person, and do not use it as a substitute for consulting a qualified professional.
  3. If you are experiencing a medical or mental health emergency, or thoughts of self-harm, contact your local emergency number or a qualified professional immediately. The Service is not an emergency, crisis or counselling service and cannot help you in an emergency.
  4. The content is generated by artificial intelligence systems. It may be inaccurate, incomplete, inconsistent or offensive; it may misstate facts; and the same question may produce different answers at different times. We do not verify the accuracy of generated content, and we do not warrant that any part of it is correct.
  5. Readings are calculated according to the method we have adopted, including the solar-term and almanac data we use, historical standard-time and daylight-saving records, true solar time correction based on the coordinates of the birthplace you select, and our handling of lunar-calendar conversion and leap months. These traditions differ between schools in both their calculation methods and their interpretations. Our results may therefore differ from those of other services or practitioners, and our method does not represent the only or the correct standard.
  6. Results may be inaccurate in the following circumstances, and we do not warrant the accuracy of any calculation:
    • the time of birth falls close to a solar-term boundary, so that a small difference in time changes the result;
    • the coordinates of the birthplace you selected differ from the actual place of birth, affecting the time correction;
    • historical standard-time or daylight-saving records for the relevant period or territory are incomplete or differ from what was actually observed;
    • you do not know your time of birth, enter it inaccurately, or select the wrong calendar type or leap-month setting.
  7. Characters, personalities and voices in the Service are fictional. They are not real people, not professionals, and not a source of authoritative information, regardless of how they express themselves.
  8. You are solely responsible for any decision you make or action you take on the basis of content obtained from the Service.

Article 15 (Third-Party Services)

  1. The Service integrates or interoperates with services operated by third parties, including application stores, sign-in providers, notification services, hosting providers and AI providers.
  2. Your use of those services is governed by the third party's own terms and privacy policy. We are not a party to that relationship and are not responsible for those services, their availability, or any act or omission of the third party.
  3. Any link to an external site or resource is provided for convenience only and is not an endorsement.

Article 16 (Privacy)

  1. Our handling of personal information is described in the Privacy Policy, which is published within the Service and forms part of these Terms.
  2. The Company is established in the Republic of Korea and operates the Service from there. Personal information processed through the Service is stored on servers located in the Republic of Korea. By using the Service you acknowledge this.

Article 17 (Notifications and Communications)

  1. We may send you push notifications, in-app messages and service-related emails. You may turn off push notifications in your device settings, but you may still receive messages that are necessary for the operation of the Service, for security, or to satisfy a legal obligation.
  2. Notices we give under these Terms are effective when posted within the Service, sent to the email address associated with your account, or delivered by push notification.
  3. You consent to receive communications from us electronically, and you agree that electronic communications satisfy any legal requirement that a communication be in writing.

Article 18 (Disclaimer of Warranties)

  1. THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND.
  2. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
  3. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF HARMFUL COMPONENTS; OR THAT ANY CONTENT, RESULT OR OUTPUT WILL BE ACCURATE, RELIABLE, COMPLETE OR SUITABLE FOR ANY PURPOSE.
  4. Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the exclusions in this Article apply only to the extent permitted, and you may have additional rights.

Article 19 (Limitation of Liability)

  1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OPPORTUNITY OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATING TO THE SERVICE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  2. We are not liable for any loss or damage arising from: content generated by the Service or any decision you make in reliance on it; your failure to keep your account or device secure; the acts or omissions of any third-party platform, store, sign-in provider, network operator or AI provider; or any event beyond our reasonable control, including natural disaster, war, epidemic, labour action, power or network failure, governmental action, and denial-of-service or other attack.
  3. We provide free features free of charge, and, to the maximum extent permitted by applicable law, we accept no liability in connection with them.
  4. We are not liable for, and have no obligation to intervene in, any dispute arising between users, or between you and any third party, through or in connection with the Service, including any emotional distress you suffer because of another user. We do not verify or guarantee the identity of any user.
  5. We are not liable for any loss arising from your own disclosure of your account credentials or personal information to another person.
  6. We are not liable for your failure to obtain the utility or result you expected from the Service, or for any loss arising from your selection or use of any feature or content.
  7. We are not liable for any loss or damage arising from advertising displayed in the Service or from your participation in, communication with, or transactions through an advertiser's promotions.
  8. The limitations in this Article apply to the fullest extent permitted by applicable law and reflect the allocation of risk between us and the price of the Service. They do not exclude or limit liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by our negligence, for fraud, or for our wilful misconduct or gross negligence. Some jurisdictions do not allow certain limitations, in which case this Article applies only to the extent permitted.

Article 20 (Indemnification)

To the maximum extent permitted by applicable law, you agree to defend, indemnify and hold harmless the Company and its directors, officers, employees and agents from and against any claim, demand, proceeding, loss, liability, damage, cost or expense (including reasonable legal fees) arising out of or relating to: (a) your wrongful or negligent use of the Service; (b) your breach of these Terms or of any applicable law; (c) User Content you submit, including information about any other person; or (d) your infringement or violation of the rights of any third party. We may assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate with us.

Article 21 (Governing Law)

  1. These Terms and any dispute arising out of or relating to them or to the Service are governed by the laws of the Republic of Korea, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
  2. If you are a consumer, nothing in this Article deprives you of the protection of the mandatory provisions of the consumer law of your country of habitual residence that cannot be derogated from by agreement.

Article 22 (Dispute Resolution; Arbitration; Class Action Waiver)

  1. Informal resolution first. Before commencing any arbitration or proceeding, you agree to contact us at the address in Article 26 with a written notice describing the dispute and the relief you seek, and to attempt in good faith to resolve it informally for at least thirty (30) days. This step is a condition precedent to commencing arbitration.
  2. Binding arbitration. Except as provided in paragraphs 4 and 5, any dispute, controversy or claim arising out of or relating to the Service or these Terms, including their existence, validity, breach or termination, shall be finally resolved by binding arbitration administered by the Korean Commercial Arbitration Board ("KCAB") under its International Arbitration Rules. The seat of arbitration shall be Seoul, Republic of Korea; the tribunal shall consist of one arbitrator; and the language of the arbitration shall be English. The award shall be final and binding, and judgment on it may be entered in any court of competent jurisdiction. Where you are a consumer and applicable mandatory law permits, the arbitration may be conducted remotely, by documents only, or in your place of residence, at your election.
  3. CLASS ACTION AND JURY TRIAL WAIVER. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND THE COMPANY EACH AGREE THAT ANY DISPUTE SHALL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE OR PRIVATE ATTORNEY GENERAL PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE THE CLAIMS OF MORE THAN ONE PERSON AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE PROCEEDING. YOU AND THE COMPANY EACH WAIVE ANY RIGHT TO A TRIAL BY JURY. If this paragraph is held unenforceable as to a particular claim or request for relief, that claim or request shall be severed and brought in the courts identified in paragraph 5, and the remainder shall proceed in arbitration.
  4. Exceptions. Either party may bring an individual claim in a small-claims court of competent jurisdiction, and either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or to prevent unauthorized access to or misuse of the Service.
  5. Courts. Where arbitration does not apply, is unenforceable, or has been opted out of, the Seoul Central District Court of the Republic of Korea shall have exclusive jurisdiction, except that a consumer may also bring proceedings in, and may be sued only in, the courts of their country of habitual residence where mandatory law so requires.
  6. Opt-out. You may opt out of paragraphs 2 and 3 by sending written notice to the contact address in Article 26 within thirty (30) days of first accepting these Terms, stating your account email and that you opt out of arbitration. Opting out does not affect any other part of these Terms.
  7. Limitation period. To the extent permitted by applicable law, any claim arising out of or relating to the Service or these Terms must be commenced within one (1) year after it arises, failing which it is permanently barred.

Article 23 (Changes to These Terms)

  1. We may amend these Terms at any time, to the extent permitted by applicable law.
  2. We will publish the amended Terms within the Service, together with the effective date and the reason for the change, at least seven (7) days before the effective date, or at least thirty (30) days before the effective date where the change is materially disadvantageous to Users.
  3. Where we publish an amendment and state, together with that publication, that failure to object before the effective date will be treated as acceptance, and you do not expressly object before that date, you are deemed to have accepted the amended Terms as of the effective date.
  4. If you do not agree to an amendment, you must stop using the Service and may delete your account before the effective date. If you continue to use the Service after the effective date, you are deemed to have accepted the amended Terms.
